AGREEMENT TO OUR LEGAL TERMS

We are A&M AI DEV LLC (“Company,” “we,” “us,” “our”), a company registered in Arizona, United States of America with our principal place of business at 4539 N 22ND ST, STE R.

We operate the mobile application Mssngr AI (the “App”), and any related websites, products, and services that refer or link to these legal terms (collectively, the “Services”).

These Legal Terms constitute a legally binding agreement between you (“you”) and the Company regarding your access to and use of the Services. By accessing or using the Services, you agree that you have read, understood, and agree to be bound by these Legal Terms. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICES.

We may update these Legal Terms from time to time. We will indicate changes by updating the “Last updated” date. Your continued use of the Services after changes are posted means you accept the updated Legal Terms.

The Services are intended for users who are at least 13 years old. If you are under 18, you represent that you have your parent or guardian’s permission to use the Services.

1. OUR SERVICES

Mssngr AI provides tools that generate suggested message replies based on text you provide and/or text extracted from screenshots you upload. Responses are generated by automated systems and may be inaccurate, incomplete, or inappropriate in some contexts.

The Services are provided for general communication assistance only and are not professional advice (including legal, medical, financial, or mental health advice). You are responsible for how you use any generated output.

You may not use the Services where prohibited by law. You are responsible for complying with all applicable laws and regulations.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We own or license all rights in and to the Services, including all software, designs, text, graphics, logos, and trademarks (collectively, “Content” and “Marks”). The Content and Marks are protected by applicable intellectual property laws.

Your license to use the Services

Subject to these Legal Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

Except as expressly permitted, you may not copy, reproduce, distribute, sell, lease, reverse engineer, or exploit any part of the Services, Content, or Marks without our written permission.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

You have the legal capacity to agree to these Legal Terms.
You will provide accurate information and keep it up to date.
You will not use the Services for unlawful purposes.
You will not misuse the Services, including attempting to access systems or data you are not authorized to access.
You will comply with all applicable laws and regulations.

4. PURCHASES AND PAYMENT

If you purchase access to paid features (such as subscriptions), you agree to provide current, complete, and accurate purchase and account information.

Payments and billing are processed by the App Store (Apple) or other authorized payment providers (each, a “Payment Provider”). Prices may change at any time to the extent permitted by law and the Payment Provider’s rules.

5. SUBSCRIPTIONS; CANCELLATION; REFUNDS

Subscriptions

If you purchase a subscription, it may renew automatically unless canceled at least 24 hours before the end of the current billing period, according to your Payment Provider’s rules.

How to cancel

You can manage and cancel subscriptions through your device account settings:

Apple: Settings → Apple ID → Subscriptions
Other platforms: follow the applicable store instructions

Refunds

Refunds, if any, are handled by the Payment Provider and are subject to their policies. We cannot directly issue refunds for purchases made through the App Store unless required by law.

6. SOFTWARE

We may provide software as part of the Services. You are granted a limited license to use the software solely as necessary to use the Services in accordance with these Legal Terms. Any software is provided “AS IS” and may be updated automatically.

7. PROHIBITED ACTIVITIES

You agree not to:

Use the Services for any illegal purpose or in violation of any law
Attempt to reverse engineer, decompile, or hack the Services
Interfere with the Services, security features, or networks connected to the Services
Use automated scripts/bots to access or scrape the Services
Upload malicious code or attempt to introduce viruses
Use the Services to harass, abuse, defame, threaten, or discriminate against others
Use the Services to generate or distribute content that is unlawful or violates the rights of others
Impersonate any person or misrepresent affiliation

We may suspend or terminate access for violations.

8. USER CONTENT

“User Content” includes text you type into the App and any screenshots or other materials you upload.

You represent that you have all rights necessary to provide User Content and that your User Content does not violate any law or third-party rights (including privacy rights).

You are responsible for your User Content and for any messages you send using outputs from the Services.

9. CONTENT LICENSE

To operate the Services, you grant us a limited license to host, process, transmit, and display your User Content only as needed to provide and improve the Services.

We do not claim ownership of your User Content.

AI outputs: Generated replies are produced automatically. To the extent permitted by law, you may use outputs for personal purposes, but you are responsible for verifying accuracy and suitability.

10. MOBILE APPLICATION LICENSE

We grant you a limited, revocable, non-exclusive, non-transferable license to install and use the App on devices you own or control, solely for your personal use, in accordance with these Legal Terms and the applicable App Store rules.

You may not:

Copy or modify the App
Distribute the App
Attempt to extract source code or bypass security
Use the App in a way that violates third-party terms (including carrier/data plans)

11. THIRD-PARTY SERVICES AND LINKS

The Services may integrate with or link to third-party services. We do not control and are not responsible for third-party content, policies, or services. Your use of third-party services is at your own risk and governed by their terms.

12. SERVICES MANAGEMENT

We may monitor usage to maintain security and performance, investigate violations, and enforce these Legal Terms. We may remove content or restrict access at our discretion, consistent with applicable law.

13. PRIVACY

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you agree to our Privacy Policy.

14. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We may suspend or terminate your access at any time if we reasonably believe you violated these Legal Terms or if required to protect the Services, users, or third parties.

Upon termination, your license to use the Services ends immediately.

15. MODIFICATIONS AND INTERRUPTIONS

We may change, update, suspend, or discontinue the Services at any time. We do not guarantee the Services will be available at all times and are not liable for downtime or interruptions.

16. GOVERNING LAW

These Legal Terms are governed by the laws of the United States of America, without regard to conflict of law principles.

17. DISPUTE RESOLUTION

Informal resolution:
Before filing a claim, you agree to contact us at support@am-ai-dev.com and attempt to resolve disputes informally for at least 30 days.

Arbitration / Courts:
(arbitration): Any dispute will be resolved by binding arbitration under American Arbitration Association (AAA) rules in Maricopa County, Arizona, except where prohibited by law.

18. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT AI-GENERATED OUTPUTS ARE ACCURATE, COMPLETE, SAFE, OR APPROPRIATE FOR ANY PARTICULAR PURPOSE. YOU ARE RESPONSIBLE FOR REVIEWING AND EDITING ANY OUTPUT BEFORE USING IT.

19. LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE ONE (1) MONTH BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $20.00 USD.

(Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.)

20. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company and its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

Your use of the Services
Your User Content
Your violation of these Legal Terms
Your violation of any law or third-party rights

21. USER DATA

We may maintain data necessary to operate the Services. You are responsible for maintaining backups of your information. We are not liable for loss or corruption of data except as required by law.

22. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive communications electronically and agree that electronic communications satisfy legal requirements that such communications be in writing.

23. APPLE APP STORE ADDITIONAL TERMS

If you access the App via Apple’s App Store, you acknowledge and agree that:

These Legal Terms are between you and the Company, not Apple.
Apple has no obligation to provide maintenance or support.
In the event the App fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price (if any) in accordance with Apple’s policies; Apple has no other warranty obligation.
Apple is not responsible for addressing claims relating to the App, including product liability, consumer protection, or intellectual property infringement claims.
You represent that you are not located in a country subject to U.S. embargo or on any prohibited/restricted parties list.
You must comply with applicable third-party terms when using the App.
Apple and Apple’s subsidiaries are third-party beneficiaries of these Legal Terms and may enforce them against you.
